Payroll Mitra is a cloud-based payroll and HRMS platform that helps businesses manage payroll, attendance, leave, compliance, employee records, and HR operations.

If you do not agree with these Terms, please do not use our website or services.

1. Definitions

6. Customer Responsibilities

You are responsible for:

  • Ensuring payroll data is correct before processing.
  • Obtaining necessary employee consents.
  • Complying with employment, tax, and labor laws.
  • Reviewing reports and payroll outputs before implementation.

Payroll Mitra is a software platform and does not provide legal, tax, or financial advice.

7. Data Ownership

All employee, payroll, attendance, and business information uploaded by customers remains the property of the customer.

By using our Services, you grant Payroll Mitra a limited right to process such information solely for the purpose of delivering services.

8. Privacy and Data Protection

Your use of Payroll Mitra is also governed by our Privacy Policy.

We implement reasonable administrative, technical, and organizational safeguards to protect customer information; however, no system can guarantee absolute security.

9. Subscription and Payment

Where applicable:

  • Subscription fees must be paid according to the selected plan.
  • Fees are non-refundable unless otherwise specified in writing.
  • Failure to pay fees may result in service suspension or termination.
  • Pricing may be revised with prior notice.
  • Applicable taxes, including GST, may be charged separately.

14. Disclaimer of Warranties

15. Limitation of Liability

To the fullest extent permitted by law, Payroll Mitra shall not be liable for:

  • Loss of business opportunities
  • Data loss
  • Payroll errors resulting from incorrect customer-provided data

Our total liability shall not exceed the amount paid by the customer for services during the preceding three (3) months.

16. Indemnification

You agree to indemnify and hold harmless Payroll Mitra, its directors, employees, partners, and affiliates from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the Services
  • Violation of these Terms
  • Breach of applicable laws
  • Misuse of employee or payroll data

17. Termination

Payroll Mitra may suspend or terminate access to Services if:

  • Terms are violated.
  • Payments remain outstanding.
  • Fraudulent or illegal activity is detected.
  • Security risks arise.

Customers may terminate services according to their subscription agreement.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.

19. Changes to Terms

Payroll Mitra reserves the right to modify these Terms at any time.

Updated versions will be published on the website and become effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.
